Regulamin

Niniejszy Regulamin określa zasady korzystania ze strony velopol.pl oraz warunki współpracy B2B z VELOPOL Sp. z o.o. Korzystanie ze strony lub nawiązanie współpracy oznacza akceptację niniejszego Regulaminu.

§1. Postanowienia ogólne

1. Operatorem strony velopol.pl jest VELOPOL Sp. z o.o. z siedzibą w Polsce (zwana dalej "Operatorem" lub "Velopol").
2. Velopol świadczy usługi B2B wyłącznie dla podmiotów gospodarczych (nie konsumentów).
3. Językiem wiążącym współpracy jest język polski lub angielski, zgodnie z ustaleniami stron.

§2. Zakres usług

1. Velopol działa jako one-stop partner rowerowy, świadcząc usługi:
   • sourcingu rowerów i komponentów z fabryk partnerskich na całym świecie,
   • produkcji whitelabel i OEM pod marką klienta,
   • assembly i pakowania w magazynach na terenie UE,
   • dystrybucji B2B i dropshippingu w 27 krajach UE.
2. Velopol nie prowadzi własnej produkcji rowerów — współpracujemy z certyfikowanymi fabrykami partnerskimi.

§3. Zapytania i umowy

1. Treści prezentowane na stronie velopol.pl nie stanowią oferty w rozumieniu Kodeksu cywilnego — mają charakter informacyjny.
2. Każda współpraca rozpoczyna się od indywidualnego zapytania (RFQ) i wymaga podpisania odrębnej umowy ramowej lub zlecenia.
3. Warunki cenowe, MOQ (Minimum Order Quantity), terminy i specyfikacje techniczne są ustalane indywidualnie dla każdego projektu.

§4. Ceny i płatności

1. Wszystkie ceny są kwotami netto (bez VAT), wyrażonymi w EUR lub PLN zgodnie z ustaleniami.
2. Standardowe warunki płatności: 30% zaliczki przy złożeniu zamówienia, 70% przed wysyłką. Inne warunki mogą być negocjowane.
3. Płatności realizowane są przelewem na rachunek bankowy Velopol wskazany na fakturze.

§5. Produkcja i dostawa

1. Standardowy czas realizacji (lead time): od 60 do 120 dni od zatwierdzenia próbki, zależnie od specyfikacji i wolumenu.
2. Dostawa realizowana jest zgodnie z ustalonymi Incoterms® 2020 (najczęściej DDP, FCA lub EXW).
3. Ryzyko przechodzi na Kupującego zgodnie z zastosowanymi Incoterms®.

§6. Kontrola jakości i reklamacje

1. Każda partia podlega kontroli jakości (AQL 2.5) w fabryce partnerskiej oraz wyrywkowej kontroli w naszym magazynie.
2. Reklamacje należy zgłaszać w terminie 14 dni od dostawy, z dokumentacją fotograficzną.
3. Gwarancja producenta: 24 miesiące na ramę, 12 miesięcy na komponenty (zgodnie z kartą gwarancyjną).

§7. Własność intelektualna

1. W projektach whitelabel/OEM prawa do logotypu i identyfikacji wizualnej pozostają u Klienta.
2. Projekty techniczne, rysunki i know-how opracowane wspólnie z Velopol są objęte wzajemną klauzulą poufności (NDA).
3. Zawartość strony velopol.pl (teksty, grafika, SVG) jest własnością Velopol i nie może być kopiowana bez zgody.

§8. Odpowiedzialność

1. Odpowiedzialność Velopol ograniczona jest do wartości netto zrealizowanego zamówienia, z wyłączeniem utraconych korzyści.
2. Velopol nie odpowiada za szkody wynikłe z niewłaściwego użytkowania rowerów lub montażu przez osoby trzecie.

§9. Siła wyższa

Velopol nie ponosi odpowiedzialności za niewykonanie zobowiązań spowodowane siłą wyższą (wojna, pandemia, blokada portów, katastrofa naturalna, strajk, regulacje celne).

§10. Ochrona danych

Zasady przetwarzania danych osobowych opisuje Polityka prywatności, stanowiąca integralną część niniejszego Regulaminu.

§11. Prawo właściwe i spory

1. Niniejszy Regulamin podlega prawu polskiemu.
2. Spory będą rozstrzygane polubownie; w przypadku braku porozumienia właściwy jest sąd właściwy miejscowo dla siedziby Velopol.

§12. Postanowienia końcowe

1. Velopol zastrzega prawo do zmiany Regulaminu. Aktualna wersja dostępna pod velopol.pl/terms.
2. Do zapytań stosuje się Regulamin obowiązujący w dniu ich złożenia.
3. W sprawach nieuregulowanych stosuje się przepisy Kodeksu cywilnego.

These Terms of Service govern the use of velopol.pl and B2B cooperation with VELOPOL Sp. z o.o. Use of the website or engagement in cooperation means acceptance of these Terms.

§1. General Provisions

1. The operator of velopol.pl is VELOPOL Sp. z o.o., registered in Poland ("Operator" or "Velopol").
2. Velopol provides B2B services only to business entities (not consumers).
3. The governing language is Polish or English, as agreed between the parties.

§2. Scope of Services

1. Velopol acts as a one-stop bike partner, providing:
   • sourcing of bikes and components from partner factories worldwide,
   • whitelabel and OEM production under the customer's brand,
   • assembly and packaging in EU warehouses,
   • B2B distribution and dropshipping across 27 EU countries.
2. Velopol does not operate its own production — we work with certified partner factories.

§3. Inquiries and Contracts

1. Content on velopol.pl does not constitute an offer in the legal sense — it is informational.
2. Every cooperation begins with an individual RFQ and requires a separate framework agreement or order.
3. Pricing, MOQ (Minimum Order Quantity), timelines and technical specs are agreed individually per project.

§4. Prices and Payments

1. All prices are net (excluding VAT), denominated in EUR or PLN as agreed.
2. Standard payment terms: 30% deposit on order placement, 70% before shipment. Other terms may be negotiated.
3. Payments are made by bank transfer to the Velopol account stated on the invoice.

§5. Production and Delivery

1. Standard lead time: 60 to 120 days from sample approval, depending on spec and volume.
2. Delivery per agreed Incoterms® 2020 (typically DDP, FCA or EXW).
3. Risk passes to the Buyer in accordance with the agreed Incoterms®.

§6. Quality Control and Complaints

1. Every batch undergoes QC (AQL 2.5) at the partner factory and random checks at our warehouse.
2. Complaints must be submitted within 14 days of delivery with photographic evidence.
3. Manufacturer warranty: 24 months on frame, 12 months on components (per warranty card).

§7. Intellectual Property

1. In whitelabel/OEM projects, rights to the logo and visual identity remain with the Client.
2. Technical designs, drawings and know-how co-developed with Velopol are covered by a mutual NDA.
3. Content of velopol.pl (text, graphics, SVG) is owned by Velopol and may not be copied without consent.

§8. Liability

1. Velopol's liability is limited to the net value of the executed order, excluding loss of profits.
2. Velopol is not liable for damages caused by improper use of bikes or assembly by third parties.

§9. Force Majeure

Velopol is not liable for non-performance due to force majeure (war, pandemic, port blockade, natural disaster, strike, customs regulations).

§10. Data Protection

The rules of personal data processing are described in the Privacy Policy, which is an integral part of these Terms.

§11. Governing Law and Disputes

1. These Terms are governed by Polish law.
2. Disputes shall be settled amicably; failing agreement, the court competent for Velopol's registered office shall have jurisdiction.

§12. Final Provisions

1. Velopol reserves the right to amend these Terms. The current version is available at velopol.pl/terms.
2. Inquiries are subject to the Terms in force on the date of submission.
3. Matters not covered are governed by the Polish Civil Code.
